End User License Agreement (EULA)

• "Company" – OPENLOGIC BUSINESS SOLUTIONS PVT LTD
• "Software" – BharatERP application and all related components
• "Documentation" – User manuals, help files, and technical specifications

• "End User" – Individual or entity using the software
• "License Key" – Unique activation code provided upon purchase
• "Updates" – Software improvements, patches, and new versions

Permitted Uses:

• Install and use the Software on authorized devices
• Use for legitimate business operations
• Create data backups for security purposes
• Access updates and support services

License Scope:

• Single-user or multi-user (as purchased)
• Valid for the purchased license period
• Geographic restrictions may apply
• Number of users limited by license type

Distribution & Copying:

• Distribute, sell, or rent the Software
• Make copies except for backup purposes
• Share license keys with unauthorized users
• Sublicense or transfer rights to third parties

Modification & Reverse Engineering:

• Modify, adapt, or create derivative works
• Reverse engineer, decompile, or disassemble
• Remove or alter copyright notices

Misuse & Illegal Activities:

• Use for illegal or fraudulent purposes
• Circumvent security measures or limitations
• Use beyond the scope of purchased license
• Interfere with licensing mechanisms

Competitive Activities:

• Develop competing software products
• Benchmark against competitors without permission
• Extract algorithms or business logic

Company Ownership:

• All rights, title, and interest in the Software remain with Company
• BharatERP trademarks, logos, and brand names are Company property
• Source code, algorithms, and proprietary methods are confidential
• This EULA grants usage rights only, not ownership

Your Data:

• You retain ownership of all data you enter into the Software
• You can export your data at any time
• Company does not claim ownership of your business data

Installation Guidelines:

• Download only from official BharatERP channels
• Use only legitimate license keys
• Install antivirus software and keep it updated
• Restrict installation to authorized personnel

System Requirements:

• Windows 10/11 or compatible OS
• Minimum 4GB RAM (8GB recommended)
• At least 2GB available disk space

User Responsibilities:

• Maintain regular data backups
• Keep Software updated to latest version
• Protect login credentials and license keys
• Monitor for unauthorized access or use

Network & Internet:

• Internet connection for activation and updates
• Cloud features require stable internet
• Secure network recommended for business use

Software Updates:

• Company may provide updates, patches, and new versions
• Security updates are highly recommended
• Minor updates typically provided at no additional cost
• Major version upgrades may require separate purchase

Update Policy:

• You'll be notified of available updates
• Updates can be downloaded from official channels
• Refusing critical security updates may void support

No Warranties:

• No warranty of merchantability or fitness for purpose
• No guarantee of uninterrupted or error-free operation
• No warranty that Software will meet your requirements
• No warranty against data loss or corruption

Best Efforts:

• We strive to provide reliable software
• Bugs and issues are addressed promptly
• Support available during business hours
• Regular updates improve functionality

Excluded Damages:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Loss of data or business interruption
• Punitive or exemplary damages

Liability Limitations:

• Maximum liability: amount paid in last 12 months
• Claims must be filed within one year
• Limitations apply regardless of legal theory
• Applies to Company, affiliates, and suppliers

Termination by You:

• You may terminate by uninstalling the Software
• Destroy all copies and documentation
• Notify Company of termination in writing

Termination by Company:

• Immediately for breach of EULA terms
• For non-payment after 30-day notice
• For misuse or unauthorized distribution

Effect of Termination:

• All rights under this EULA cease immediately
• You may export your data before termination
• No refunds for terminated licenses
• Confidentiality obligations survive termination

• This EULA is governed by the laws of India
• Exclusive jurisdiction: Courts of Guwahati, Assam, India
• Disputes should first be resolved through good faith negotiation
• Mediation preferred before litigation
• English language version prevails over translations

• Technical support during business hours
• Access to documentation and knowledge base
• Software updates and patches
• Email support with response SLA

Support Limitations:

• Business hours: 10 AM - 8 PM, Monday-Saturday
• No support for modified or unauthorized software
• Third-party software issues excluded
